Welcome to iTiNdetail (accessible online via www.itindetail.com). These Terms & Conditions ("Terms", "Agreement"), together with our incorporated Payment Terms, Privacy Policy, and Cancellation & Non-Refund Policy, form an absolute and legally binding commercial contract between iTiNdetail (a registered female sole proprietorship enterprise under MSME, operating with a verified Bank Current Account and GST registration in Chennai, Tamil Nadu, India) and You ("Client", "User", "Purchaser", "Customer").

Automatic Agreement Upon Engagement: Any client, business entity, or individual who engages our services, commissions a project, orders lead generation packages, purchases digital products, submits project briefs, makes payments via Razorpay or direct bank transfer, or utilizes our automation, CRM/ERP, or WhatsApp API systems, automatically, fully, and unconditionally agrees to be legally bound by these Terms & Conditions, Privacy Policy, and Payments & Refund Policy in their entirety.

1. Legal Entity, Sole Proprietorship & Trademark Ownership

• Commercial Identity: iTiNdetail (Trade Name: iTiNdetail) is a registered female sole proprietorship enterprise, recognized under the Ministry of Micro, Small and Medium Enterprises (MSME), Government of India, maintaining an official active Bank Current Account and registered under the Goods and Services Tax Act with GSTIN: 33HCDPS7231D1ZP.
• Principal Registered Address: 4/14, West Avenue, Off Station View Road, Kodambakkam, Chennai, Tamil Nadu 600024, India.
• Registered Trademark Protection: The brand name "iTiNdetail", its associated stylized wordmarks, logos, domain assets (itindetail.com), lead sync engine workflows, and agency branding are registered and trademarked intellectual property. Any unauthorized commercial reproduction, imitation, reverse-engineering, or unlawful branding misappropriation will be subject to applicable intellectual property laws.

2. Scope of Services & Solutions

iTiNdetail provides specialized business, software, and marketing infrastructure services across diverse commercial domains:

• Real Estate & Multi-Industry Lead Generation: Execution of performance advertising campaigns across Meta (Facebook & Instagram Ads), Google Ads, and custom acquisition funnels, generating between 10,000 to 15,000+ real estate and industry leads annually.
• Custom Web & E-Commerce Web Development: Design, full-stack development, database architecture, payment gateway integration (Razorpay), and deployment of dynamic business websites, e-commerce stores, and digital asset portals.
• Custom Automation Software, CRM & ERP Systems: Custom-tailored Enterprise Resource Planning (ERP), Customer Relationship Management (CRM) tools, and centralized database management software designed specifically for insurance agencies, recruitment & staffing companies, real estate brokerage firms, and corporate enterprises.
• WhatsApp Business API Automation & Lead Sync Engine: Implementation of automated lead distribution pipelines, syncing incoming prospect data from ads into client CRM systems and pushing instant real-time lead notification alerts from our official WhatsApp API engine directly to the client’s designated CRM and authorized personal/business WhatsApp numbers.
• E-Commerce Digital Products Store: Sale and licensing of downloadable digital products, code scripts, automation templates, CRM workflows, UI design kits, and business digital assets.

3. Lead Generation Services & Performance Transparency

When purchasing lead generation services or entering lead generation retainers with iTiNdetail, the Client acknowledges and accepts the following operational framework:

3.2 Shared Non-Exclusive Lead Distribution Model

Unless the Client has entered into an explicitly executed, written, and separately invoiced Exclusive Single-Buyer Lead Contract with customized premium pricing:

• All standard leads generated through iTiNdetail's industry campaigns, funnels, and real estate marketing networks are distributed on a non-exclusive, shared basis to up to five (5) verified clients/subscribers.
• Shared leads are transmitted in real time or in structured batches to ensure prompt contactability.
• Clients are solely responsible for immediate sales follow-up, pitch presentation, CRM nurturing, and closing.

3.3 WhatsApp API Lead Routing & Client Number Delivery

• Leads are captured via our proprietary lead sync engine and pushed directly to the Client's integrated CRM and/or sent via automated WhatsApp messages from iTiNdetail's WhatsApp Business API to the personal/business telephone numbers provided by the Client.
• The Client is strictly responsible for providing valid, WhatsApp-active contact numbers and keeping their receiving devices operational. iTiNdetail shall not be liable for missed leads resulting from client handset downtime, WhatsApp network bans on client numbers, or telecommunication network delays.

4. Web Development, Hosting, Domain Custody & Source Code Transfer

For custom web development, e-commerce web applications, and database management tools, the following operational and handover rules apply:

4.1 Budget-Based Domain & Server Hosting Custody

Depending on project requirements and client budget constraints, website domains and cloud hosting infrastructure may initially be registered, configured, and maintained under iTiNdetail's centralized master server infrastructure and agency registrar accounts.

4.2 Source Code Handover & Domain Ownership Transfer Protocol

If the Client requests direct handover of source code, database backups, or transfer of domain registrar authorization (EPP/Auth codes) and DNS control to the Client's independent third-party hosting account:

1. Mandatory Full Payment Clearance: The transfer process will commence ONLY AFTER a comprehensive commercial review confirms that 100% of all project fees, milestone invoices, hosting dues, third-party plugin fees, and outstanding balances are fully paid and verified (Zero Outstanding Dues).
2. No Transfer on Outstanding Balance: Under no circumstances will source code files, database schemas, administrative credentials, or domain ownership be released if any invoice remains pending or disputed.
3. Client Technical Readiness: Upon handover, the Client assumes full technical and administrative responsibility for their server environment, security patches, renewal fees, and database maintenance.

5. Post-Delivery Alterations & Scope Management

All development and custom software projects are executed based on the mutually agreed initial scope of work ("SOW"):

• Formal Delivery & Review Period: Upon completion and demonstration of the project deliverables, the Client is provided an initial standard 5-business-day verification window to review deliverables against the agreed SOW.
• Post-Delivery Additional Cost: Any modifications, layout redesigns, software alterations, workflow changes, database additions, API integration upgrades, or feature enhancements requested after milestone approval, project sign-off, or deployment will be treated strictly as new scope of work and will be subject to additional billable costs at our prevailing hourly or milestone rates.
• Maintenance Retainers: Ongoing feature updates, operating system compatibility updates, and server maintenance require an active, paid monthly support contract.

6. Client Information, Assets & Intellectual Property Usage License

All data, images, product catalogs, property details, candidate resumes, insurance schemas, and brand collateral provided by the Client to iTiNdetail are provided with full awareness and legal authorization:

• Client Warranty of Ownership: The Client explicitly represents and warrants that they own, or hold valid licenses for, all logos, trademarks, content, media assets, and customer databases supplied to iTiNdetail, and that such materials do not infringe on any third-party copyright, trademark, privacy, or regulatory mandate.
• License for Development & Project Execution: By engaging our services, the Client grants iTiNdetail a non-exclusive, worldwide, royalty-free license to use, display, adapt, format, and integrate the Client’s trade name, brand marks, logos, trademarks, and collateral solely for the purpose of designing, building, deploying, testing, and optimizing the contracted websites, e-commerce stores, custom CRM/ERP software, WhatsApp API workflows, and advertising lead funnels.
• Total Client Indemnity: The Client agrees to defend, indemnify, and hold harmless iTiNdetail, its female sole proprietor, officers, contractors, and affiliates from and against any and all claims, damages, liabilities, regulatory penalties, legal fees, and court costs resulting from client-supplied materials, regulatory non-compliance (e.g., RERA real estate violations, insurance compliance violations), or false advertising claims originating from client instructions.

7. E-Commerce Store & Digital Products Terms

When purchasing digital products (software source code, CRM workflows, automation templates, design kits, digital guides) from iTiNdetail:

• License Grant: Digital products are sold under a non-exclusive, non-transferable, single-user commercial license unless an enterprise multi-seat license is expressly purchased.
• Prohibition on Resale: You may not redistribute, resell, lease, sub-license, or publish our digital products, code repositories, or automation scripts to public forums or third-party marketplaces.
• Instant Digital Delivery: Access to digital downloads is provisioned electronically via email, download links, or customer portals immediately upon payment confirmation through Razorpay.

8. Payment Terms, Razorpay Gateway & GST Invoicing

iTiNdetail operates under formal commercial payment terms designed to ensure absolute transparency and transaction security:

8.1 Payment Gateway & Accepted Channels

All online payments are securely processed through our authorized payment partner, Razorpay (compliant with RBI standards, PCI-DSS Level 1 security, and 256-bit SSL encryption), supporting UPI, Credit Cards, Debit Cards, Net Banking, and authorized Corporate Transfers. We also accept direct NEFT/RTGS/IMPS wire transfers directly into our official MSME Bank Current Account.

8.2 GST & Invoicing

All prices quoted on our website, proposals, and invoices are subject to mandatory Goods and Services Tax (GST) as applicable under Indian law (standard 18% GST for digital services). Valid Tax Invoices will be generated and issued upon receipt of payment.

8.3 Payment Schedule & Advance Commitment

• Lead Generation Packages: 100% advance payment required prior to ad campaign initiation and lead allocation.
• Digital Products: 100% advance payment required prior to digital download access.
• Custom Web & Software Development: 50% advance project commitment deposit upon contract signing, with balance milestone payments payable strictly prior to deployment or server handover.

9. Transparent Cancellation & Non-Refund Policy

9.1 Billing Inquiries & Support-First Resolution

We are committed to resolving any question or billing inquiry through prompt, friendly direct support. If you ever have a question regarding a project invoice or service milestone, our team is readily available via email at care@itindetail.com or WhatsApp at +91 8110096669. In accordance with payment gateway standards, all completed transactions are securely documented with electronic confirmation logs.

10. Intellectual Property Rights & Agency Portfolio Showcase

• Client Deliverables: Upon 100% payment clearance and final delivery, the Client holds full operational rights to their customized website front-end visuals and tailored business content.
• Agency Proprietary Technology: iTiNdetail retains exclusive intellectual property ownership over all underlying frameworks, proprietary lead sync engines, WhatsApp automation connectors, pre-built database schemas, reusable modules, algorithms, and development libraries used to create the deliverables.
• Client Logo & Marketing Portfolio Rights: The Client expressly agrees and authorizes iTiNdetail to display and feature the Client’s company name, registered logo, website screenshots, visual interface designs, and generalized, non-confidential project milestones (e.g. lead volume milestones or UX case studies) across iTiNdetail's agency portfolio, website showcase, pitch decks, social media channels, and promotional marketing collateral.

11. WhatsApp Business API & Automated Communications

By engaging with iTiNdetail or submitting inquiries:

• You explicitly authorize iTiNdetail to transmit automated alerts, service updates, lead notifications, transaction invoices, and technical communications to your submitted phone number and email address via WhatsApp Business API, SMS, and email.
• You may opt out of promotional communications at any time by replying "STOP", though operational and lead delivery messages will remain active while service retainers are underway.

12. Limitation of Liability & Force Majeure

• Cap on Liability: Under no circumstances shall iTiNdetail, its female sole proprietor, developers, or affiliates be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of business profits, lost revenue, commercial downtime, loss of client data, or third-party ad account suspensions by Meta/Google). In all events, the total cumulative liability of iTiNdetail under this agreement shall not exceed the actual service fee paid by the Client to iTiNdetail during the thirty (30) days preceding the event giving rise to liability.
• Force Majeure: iTiNdetail shall not be held liable for failure or delay in delivering services resulting from acts of God, telecommunication outages, hosting provider downtime, regulatory actions, pandemic disruptions, cyberattacks, or sudden modifications in third-party API policies (Meta, WhatsApp, Google, Razorpay).

13. Governing Law, Dispute Resolution & Jurisdiction

These Terms, Payment Policies, and all associated service agreements shall be governed by, construed, and enforced in accordance with the substantive laws of India. Any legal dispute, controversy, or claim arising out of or relating to this contract, including its interpretation, validity, or breach, shall first be attempted to be resolved amicably through mutual executive negotiation. Failing amicable settlement within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts situated in Chennai, Tamil Nadu, India.
